Making an Informed Decision

When starting a new business, you are likely to get a lot of suggestions from friends and acquaintances on the best way to get incorporated. Some suggestions may be good and some, quite frankly, will be bad suggestions. This section is designed to cut through the hype and help you make an informed decision on what is the best way for you to form your new business entity. We strongly believe that our law firm provides the right balance of service, speed, convenience and price for the great majority of business owners. There are four paths you might take to form your new business entity.

1. Do-it-Yourself (See Myth #1)

Advantage:

  • Lowest cost.

Disadvantages:

  • Time consuming.
  • Risk of making a serious or strategic mistake that may cost more money to correct in the future.
  • Missing the benefits of a statutory close corporation.
  • Failing to provide maximum protection to the Board of Directors.
  • Failing to properly "organize" the corporation risking the potential loss of corporate liability protection and favorable tax treatment.

2. Use a National Incorporating Company (See Myth #2)

Advantage:

  • Moderate cost.

Disadvantages:

  • Time Consuming. Most national incorporating companies use multi-state preprinted corporate minutes. These minutes are designed for use in any state. They are extremely confusing and time consuming to complete. In Georgia, the failure to properly complete the organizational minutes can result in the loss of corporate protection in a subsequent lawsuit or tax audit.
  • Lack of legal counseling. Legal advice is generally not available as most incorporating companies do not have attorneys on staff for the benefit of their clients.
  • Hidden Ongoing Cost. Many national incorporating companies push incorporation in a few states, requiring a hired registered agent in the remote state and requiring a second registration in the home state of the corporation.
  • Lack of Options. Most national incorporating companies have only a few options available.

3. Hire a Traditional Attorney/Firm

Advantages:

  • Legal advice.
  • Customized organizational minutes. Some, but not all, attorneys will offer this service.

Disadvantages:

  • Highest cost.
  • Time consuming. You will need to find time in your schedule to meet with your attorney.
  • Slow service. Some attorneys are slow in processing corporate filings on account of other demands on their time.

4. Hire Robertson & Gable, LLC.

Advantages:

  • Moderate costs.

  • Prompt service. Generally, we can incorporate your business in a few days to a week; the corporate minute book with seal and the original Articles of Incorporation are sent to you within 3 to 4 weeks. Rush services are also available.
  • Easy to complete customized corporate minutes. Our minutes are specifically designed for Georgia and your business. You just sign and date.
  • Legal advice available. We will take a few minutes to answer your questions at no extra charge. We can provide more involved legal consultation for a separate fee.
  • More entity choices. We have more standard choices of entities than you are likely to find anywhere else.
  • Business Resources. Our detailed Memorandum provides a wealth of information helpful to small businesses.

Disadvantage:

  • We only incorporate in Georgia.
